MERGERS & ACQUISITIONS

Honeywell, Northford Conn., has acquired the assets of The Gamewell Co., Ashland, Mass., a manufacturer of commercial fire control panels and emergency life safety systems. Known in North America for its red fire alarm street boxes, Gamewell is a 151-year-old company. Gamewell will become the fifth product line of Honeywell's Fire Systems Group, joining Fire-Lite Alarms Inc. Fire Control Instruments, Notifier, and Silent Knight.

Linear Corp., Carlsbad, Calif., a subsidiary of Nortek Inc., has expanded its consumer electronics group of companies with the acquisition of Elan Home Systems, Lexington, Ky., a manufacturer of high-performance home entertainment equipment to upgrade Linear's residential automation product offering.

Sagem, Paris, has acquired Leica Vectronix and Leica Technologies Inc., two companies involved in optronics for defense from the Swiss group Leica Geosystems. The two companies employ 103 persons, most of them located in Switzerland. Leica Vectronix specializes in nightvision, portable reconnaissance and target designation equipment. Leica Technologies Inc. is an American-based sales company.

L-3 Communications, New York, has completed the acquisition of Avionics Systems, Charlotte, N.C., a former Goodrich Corp. division. The new business unit, L-3 Communications Avionics Systems, will develop and manufacture avionics solutions. Avionics Systems is known for general aviation safety systems and a line of solid state and electromechanical standby systems.

Viisage Technology Inc., Littleton, Mass., has entered into an agreement to acquire the capital stock of privately-held ZN Vision Technologies AG, Bochum, Germany, a European marketer of facial recognition technology.

InVision Technologies Inc., Newark, Calif., has entered an agreement to acquire Yxlon International Holding GmbH, Hamburg, Germany. Yxlon specializes in industrial non-destructive testing (NDT) and security-related X-ray components.

AGREEMENTS

Gemplus, Luxembourg, and Sagem, Paris, have entered a cooperation agreement in which the companies will jointly pursue development and activities in the field of biometrics and smart card technology for secure identity solutions. Sagem provides advanced biometrics technology and system integration technology and expertise, while Gemplus delivers smart card technology, and the related software and services required for identity programs.

VistaScape Technology Corp., Atlanta, and FLIR Systems, Portland, Ore., have announced an agreement to integrate FLIR's thermal imaging technology with VistaScape's Security Data Management System (SDMS) to provide an object detection solution for Homeland security, counter terrorism and force protection applications.

Stopware Inc., San Jose, Calif., has hired New Hampshire-based Jim Stankevich, C.H.P.A., to grow sales, strategic partnerships, business relations, and new business development out of its new East Coast office in Keene, N.H.

NKL Cash Handling of the FKI Security Group, based in New Albany, Ind., has entered into an agreement with Order-Matic Corp., Oklahoma City, to act as its first distributor focused on penetrating the Quick-Service Restaurant (QSR) market with a combined cash handling and point-of-sale (POS) system design.

Sumitomo Corp. subsidiary SC ComTex, Tokyo, has signed a sales and distribution agreement with ReefEdge Inc., Ft. Lee, N.J., under which SC ComTex will sell and support the ReefEdge Connect System.

Sagem, Paris, and Iridian Technologies Inc., Moorestown, N.J., have entered an agreement under which Sagem will adapt and integrate in its biometric identification systems the iris recognition technology from Iridian.

Comprehensive Identification Products Inc. (CIPI), Burlington, Mass., has contracted with Team Nisca, Somerset, N.J., as a Gold Distributor. Team Nisca recently reorganized its distribution channel to include a Gold Level Distributor program.

Zebra Technologies, Camarillo, Calif., hasformed a strategic partnership with ADI, a subsidiary of Honeywell International, to distribute Eltron brand card printer products. ADI is part of Honeywell's Automation and Control Solutions, and will support North American resellers marketing Zebra Technologies' Eltron card printer products.

argo Electronics Inc., Eden Prairie, Minn., has announced that HID Corp., Irvine, Calif., an ASSA ABLOY Group company, has joined the Fargo Technology Alliance (FTA), a global technology group that promotes smart card solutions. The announcement came at CeBIT, a trade show in mid-March in Germany.

Enercept Security Technologies, San Jose, Calif., has announced the integration of its solution with SmartAgent, a software from ArcSight, Sunnyvale, Calif., to enable security personnel to view alerts from Entercept in the ArcSight security risk management system.

Group 4 Securitas Technology Corp., Torrance, Calif., has changed its name to AMAG Technology Inc. “We've changed our name to reflect the evolution the company has undergone to maintain its leadership in the security industry,” says Robert Sawyer, president and CEO of what is now known as AMAG Technology.

ADT, a business unit of Tyco Fire and Security, Boca Raton, Fla., has announced it will become an official distributor of Electronic Product Code (EPC)-compliant radio frequency identification (RFID) agile readers. The new product, the Sensormatic Agile Reader, is based on a multi-frequency, multi-protocol platform licensed from Thing Magic LLC, Cambridge, Mass.

Barcode Automation Inc., Winter Springs, Fla., has announced an increased demand for its barcode systems for vehicle access control and identification, with a jump in business of 61 percent for the company in the last fiscal year.

Checkpoint Systems Inc., Thorofare, N.J., has launched an anti-shoplifting awareness program targeted at 6th to 12th graders at schools nationwide. Called “Hands-On Hands-Off,” the interactive classroom program was developed to show school children that the consequences of shoplifting can follow them well into adulthood. An hour-long, interactive classroom discussion led by a Checkpoint employee is part of the program.

The NetSwift iGate security solution from Rainbow Technologies Inc., Irvine, Calif., has been named a finalist for a 2003 Codie Award by the Software & Industry Information Association (SIIA) in the “Best Security Solution” category.

Southwest Microwave, Tempe, Ariz., has announced that its 300B Series microwave links meet the perimeter security requirements of nuclear power plants, despite the rapidly changing perimeter security regulations set forth by the United States Nuclear Regulatory Commission (NRC).

JSH Security Industries, Yavne, Israel, a manufacturer of hotel room safes, has established its first office in North America. The office is located at 2950 East Flamingo Road, Suite C2, Las Vegas.

Royal Philips Electronics, The Netherlands, has announced the expansion of its MIFARE architecture platform to include MIFARE DESFire, a high-speed, contactless multi-application smart card silicon solution that will boost the deployment of contactless smart cards in a variety of different services.

SafePlace Corp., New York, has awarded SafePlace accreditation to The Sagamore, a private island resort located on Lake George, New York.
