Pinkerton's purchases EAD

Pinkerton Inc., Encino, Calif., and Sensormatic Electronics Corp., Boca Raton, Fla., have agreed to the principal terms by which Pinkerton will acquire the business and assets of Sensormatic's Enterprise Accounts Division-U.S. (EAD), a recently created separate business unit operating as a full-fledged dealer. Terms of the agreement have not been announced. The transaction is subject to completion of due diligence and definitive agreements. The companies expected the transaction to be completed in June.

Sensormatic's EAD unit provides security systems integration services to commercial and industrial clients throughout the United States, with particular market strength in California and the Southwest and Mid-Atlantic regions. EAD employs about 425 people and had 1996 revenues of almost $80 million.

Pinkerton's president and chief executive officer, Denis R. Brown, said the acquisition will further the goal of providing clients with a range of security services and systems. Pinkerton is an independent security systems integrator, offering engineering, service and monitoring capabilities to commercial and industrial companies.

"EAD and Pinkerton share a significant number of Fortune 100 clients," Brown said. EAD has installed large, integrated security systems for multi-billion-dollar fabrication plants, automotive manufacturing companies and financial institutions.

Pinkerton established its U.S.-based Systems Integration Division in 1995. Robert A. Vanourek, Sensormatic's president and chief executive officer, said, "In divesting the Enterprise Accounts Division, Sensormatic will now focus even more intently on our core product development and manufacturing business, while our Commercial/Industrial Worldwide Operations strengthens and expands its global distribution network of independent dealers and systems integrators. Pinkerton's Systems Integration Division will continue to be an important independent systems integrator within Sensormatic's distribution network."
